These Terms of Service ("Terms") are an agreement between you and Introduct, Inc. ("Introduct", "we", "us"), 4655 Dapple Ln, Boulder, CO 80301, USA. They govern your use of Boilpoints, including the Boilpoints website, the Boilpoints mobile apps and related services (together, the "Service").

01

Who can use Boilpoints

  • You must be at least 18 years old.
  • You must be able to form a binding contract and not be barred from using the Service under applicable law.
  • During the invite period, you need a valid invite code to register. Invite codes are personal, may be limited in number, and have no cash value.
02

What Boilpoints is

Boilpoints organizes podcast discussion around points: topics or stories that several shows talk about. A segment is the part of a podcast episode where a show discusses a point. Boilpoints:

  • links to and plays podcast audio that is published publicly by third parties;
  • shows summaries, timestamps, heat scores and other information about points and segments;
  • lets you follow points and people, build a playlist, like segments and comment.

We don't host or own the podcasts. Podcast audio, titles, artwork and show descriptions belong to their creators and publishers. Playback may be provided by or subject to the terms of third-party platforms.

Summaries, heat scores and rankings are generated automatically and may be incomplete or inaccurate. They aren't statements of fact by Introduct, and you shouldn't rely on them as your only source.

03

Your account

  • You sign in with your email address and a one-time code, or with Sign in with Apple in the iOS app. Keep your email and Apple account secure; anyone who can read your email can sign in as you.
  • You're responsible for activity on your account. Tell us at a@introduct.com if you think your account has been used without permission.
  • Your username must not impersonate anyone, mislead people about your identity or infringe anyone's rights. We may reclaim usernames that do.
  • You can choose to make your profile Private. Private mode is still being rolled out and doesn't hide your profile yet. Once it does, in private mode you can read and listen, but you can't comment, post or appear in Heat rankings.
04

Caster accounts

A caster account represents a podcast. Claiming one isn't available yet; the rules below apply once it is. You may claim a caster account only if you are the podcast's owner or are authorized to act for it.

  • To claim, you connect a Spotify, Apple Podcasts or YouTube account that matches the podcast's listing. You confirm you have the right to do so.
  • A verified badge means the claim passed our check at the time. It isn't an endorsement by Introduct.
  • We may remove a claim, the badge or the caster account if we believe it was claimed without authorization, if the connected account changes hands, or if the podcast's owner disputes it.
  • You can unlink a caster account from your account at any time.
05

Your content

"Your content" means what you post or upload: comments, your bio, your profile name, username and photo, and anything else you submit.

  • You keep ownership of your content.
  • You give Introduct a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, adapt (for formatting) and distribute your content in order to run, improve and promote the Service. This license ends when you delete the content or your account, except for copies kept in backups for a limited time, copies kept where required by law, and content others have already quoted or replied to.
  • You confirm you have the rights needed to post your content and that it doesn't break these Terms or the law.
06

Rules of conduct

Don't use the Service to:

  • harass, threaten, bully, dox or incite violence against anyone;
  • post hate speech, sexual content involving minors, non-consensual intimate content or content that glorifies violence;
  • post spam, scams or undisclosed advertising, or manipulate likes, votes, follows, comments or Heat scores (including with multiple accounts or automation);
  • impersonate a person, show or organization, or falsely claim a caster account;
  • infringe copyrights, trademarks or other rights, including by uploading audio you don't have rights to;
  • scrape, crawl or bulk-collect data from the Service without our written permission;
  • reverse engineer, interfere with or overload the Service, or get around access limits, invite limits or security features;
  • break any law.

We may remove content, limit features, lower visibility, or suspend or close accounts that break these rules. Where reasonable, we'll tell you why and give you a way to respond.

07

  • You can report users, comments and other content in the app, or by email to a@introduct.com.
  • If you believe content on Boilpoints infringes your copyright, email a@introduct.com with:

    4. 04
      a statement that you believe in good faith the use isn't authorized;

      a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner;
    6. 06
      your physical or electronic signature.
  • We may remove the material and, where appropriate, close the accounts of repeat infringers.
  • Podcast creators who want their show or a segment removed from Boilpoints can email us. We'll act on verified requests.
08

Paid features

Some features may require payment, such as subscriptions or items in the Shop ("Paid Features").

  • Prices and taxes. Prices are shown before you buy. Taxes may apply depending on where you live.
  • Purchases through app stores. Boilpoints+ is sold through the Apple App Store, which handles billing, renewals and refunds under its own terms. Manage or cancel the subscription in your App Store account settings.
  • Purchases on the web. We don't sell anything on the web today. If we start, we or our payment provider will charge your payment method under these Terms.
  • Auto-renewal. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time. Cancellation takes effect at the end of the current period, and you keep access until then.
  • Price changes. We'll tell you in advance about price changes to a subscription. They apply from your next renewal, and you can cancel before they take effect.
  • Refunds. Except where the law requires otherwise, payments aren't refundable and we don't give credit for partly used periods.
  • EU / EEA and UK consumers. You have a 14-day right to withdraw from a purchase. If you ask us to start a digital service or provide digital content immediately, you agree that you lose this right once delivery has started, as permitted by law.
  • Changes to Paid Features. We may change or stop Paid Features. If we stop a subscription you have paid for, we'll refund the unused part of the period.
09

Third-party services

The Service connects to third-party services: podcast hosts and platforms, Spotify, Apple, YouTube and app stores. Their terms and privacy policies apply to your use of them. We aren't responsible for third-party services, their content or their availability.

10

Our rights

The Service, including its design, software, logos, the Boilpoints name, and our scores and compilations, is owned by Introduct or its licensors and is protected by law. Subject to these Terms, we give you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use. Feedback you send us may be used without any obligation to you.

11

Changes to the Service and to these Terms

  • The Service. We may add, change or remove features.
  • These Terms. If we make material changes, we'll give you notice in the app or by email at least 30 days before they take effect, unless the change is required by law or is needed urgently for security. If you keep using the Service after changes take effect, you accept them. If you don't agree, stop using the Service and delete your account.
12

Ending your account

  • By you. You can delete your account at any time in Settings → Delete account. This removes your profile, your comments and your other personal data straight away, as described in the Privacy Policy. Replies other people wrote to your comments stay up.
  • By us. We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or if continuing would create risk or legal exposure for us or others. Where reasonable, we'll give you notice.
  • What survives. Sections 5 (license, for content already shared), 10, 13, 14, 15 and 16 survive termination.
13

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, INTRODUCT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR ACCURATE, OR THAT PODCAST CONTENT WILL STAY AVAILABLE.

14

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, INTRODUCT AND ITS OFFICERS, EMPLOYEES AND AGENTS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US $100.

Some places don't allow these limits. Where that's the case, they apply only as far as the law allows. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that can't be limited by law, including your statutory rights as a consumer in the EU, EEA, UK or Canada.

15

Indemnity

You agree to defend and indemnify Introduct against claims, losses and costs (including reasonable legal fees) arising from your content, your misuse of the Service or your breach of these Terms, except to the extent caused by our own fault. This section doesn't apply to consumers where local law doesn't allow it.

16

Governing law and disputes

  • Governing law. These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules.
  • Courts. Any dispute will be decided exclusively by the state or federal courts located in Delaware, and you and Introduct consent to their jurisdiction.
  • Informal resolution first. Before filing a claim, contact us at a@introduct.com and give us 30 days to try to resolve it.
  • Consumers outside the US. If you're a consumer in the EU, EEA, UK or Canada, you keep the protection of the mandatory laws of the country where you live. You may also bring claims in your local courts.
  • EU online dispute resolution. The European Commission runs an online dispute resolution platform. We aren't obliged to take part in it and don't commit to doing so.
17

General

  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us about the Service.
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we don't enforce a provision, that doesn't mean we've given up the right to.
  • Assignment. You may not transfer these Terms. We may transfer them as part of a merger, acquisition or sale of assets, with notice to you.
  • Apple. If you use the iOS app, Apple isn't a party to these Terms and isn't responsible for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them as they relate to your use of the iOS app.
